1. Who we are

These terms are between you and [legal seller name — to be completed before launch] (“NEX VPS”, “we”). By creating an account or ordering, you agree to them together with the Acceptable Use Policy and the Abuse Policy.

2. The service

We sell Windows virtual servers (VPS) with remote desktop access. The servers run on the infrastructure of a third-party hosting provider. The provider’s own policies, and the law of the place where the servers are located, also limit what is allowed.

Plan specifications (processor, memory, storage, region) are those shown in your quote.

Network traffic is described as unlimited under a fair-use policy: servers with exceptionally high or disruptive usage may be limited by us or by the infrastructure provider. Snapshots, where a plan lists them, are arranged through support.

3. Your account

Give accurate details and a working email address. You are responsible for everything done through your account and for keeping its credentials safe. We strongly recommend turning on two-step verification.

4. Orders, prices and payment

Before you pay you see a quote with the price, currency, taxes and renewal price. A quote is valid for a limited time. Service is prepaid monthly and is set up after payment is confirmed. Payments are handled by a third-party payment provider.

The Windows Server license for your plan is included in the price shown in your quote, unless the quote says otherwise.

5. Cancellation and refunds

You can ask to cancel at any time. Billing stops only after we confirm the cancellation; stopping, restarting or shutting down your server does not cancel it.

Refunds: [refund policy — to be completed before launch]

6. Windows licensing

The Windows Server license is supplied through the service. You may not install your own Windows license on these servers, and you must follow Microsoft’s license terms for the software.

If several people will connect to the server by Remote Desktop, you are responsible for any additional Microsoft licenses that requires (for example Remote Desktop Services client access licenses), unless your plan explicitly includes them.

7. Your responsibilities

You have administrator access. You are responsible for configuring the server, installing updates, securing remote access, and backing up your data. We do not back up the contents of your server unless your plan says so.

8. Acceptable use and abuse

You must follow the Acceptable Use Policy. Reports about your server are handled under the Abuse Policy: you must act and reply within the time stated there, and we may suspend a server immediately in serious cases.

9. Suspension and termination

We may suspend or terminate a service for breach of these terms or the policies, abuse, non-payment, a legal requirement, or a risk to our infrastructure or other customers. In serious cases this can happen without prior notice. Suspension for a violation does not pause billing.

After a service ends, the server and its data are deleted after [data retention period (days) — to be completed before launch] days. Ask us for your data before then if you need it.

10. Availability and support

The service is provided as available. We do not promise uninterrupted operation or a specific uptime unless your plan states one, and the hosting provider may carry out maintenance. Support is offered through the official channels on the contact page; response times are not guaranteed unless stated.

Support: [official support email — to be completed before launch]

11. Limitation of liability

To the extent the law allows, we are not liable for indirect or consequential losses, lost profits or lost data. Our total liability for a claim about a service is limited to the fees you paid for that service in the last [liability cap period (months) — to be completed before launch] months. Nothing here limits liability that cannot be limited by law.

12. Changes

We may update these terms. We will tell you about material changes by email or in your account. Continuing to use the service after a change means you accept it.

13. Governing law

Governing law and venue: [governing law and venue — to be completed before launch]
